Terms & Conditions

RailGuard (the "Service") is provided by RailGuard, a trading name of UNICHAT-APP LTD, a company registered in England and Wales ("we", "us"). By creating an account or continuing to use the Service you agree to these Terms and are contracting with UNICHAT-APP LTD.

1. The Service

The Service lets organisations set spending policies for AI agents, route spend requests for human approval, and keep audit records of agent spending.

2. Accounts

  • You must be at least 18 and, if using the Service for an organisation, have authority to bind it.
  • You must provide accurate information and keep your credentials and agent API keys confidential. You are responsible for activity under your account and keys.

3. Acceptable use

You must not misuse the Service, including by: using it unlawfully or for fraud, money laundering or spam; infringing intellectual property; introducing malware, probing, scraping or interfering with our security; reverse engineering, reselling or circumventing technical or plan limits.

4. Payment decisions

The Service evaluates spend requests against rules you configure. You remain responsible for your policies, approvals and the payments your agents make. We do not provide financial, legal or tax advice.

5. Intellectual property

We retain all rights in the Service, including software, documentation and branding. We grant you a limited, non-exclusive, non-transferable licence to use it within your plan. You keep ownership of your data and grant us a limited licence to host and process it solely to provide the Service.

6. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, renewal, tax, cancellation and refund terms are set out in Paddle's Buyer Terms and our Refund Policy.

7. Service level

We work to keep the Service available but do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, the Service is provided "as is" without implied warranties of merchantability or fitness for a particular purpose.

8. Liability

Our total liability is limited to the fees you paid in the 12 months before the claim. We are not liable for indirect or consequential loss, including loss of profits, data or goodwill. Nothing limits liability for fraud, death or personal injury caused by negligence, or anything that cannot be limited by law.

9. Suspension and termination

We may suspend or terminate access for material breach, non-payment, security or fraud risk, or repeated or serious violations of these Terms. After termination you may request an export of your data within 30 days, after which it may be deleted.

10. General

These Terms are governed by the laws of England and Wales, and its courts have exclusive jurisdiction. You may not assign these Terms without our consent; we may assign them in a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control.
